Meeting of Bondholder of the Bonds 2008/2013 with a right to exchange into shares in Thomas Cook Group plc

We have invited the holders of the above-mentioned bond - in agreement with Bayerische Landesbank - to the Meeting of Creditors scheduled on Monday, 10 August 2009 at 11 a.m., at the Frankfurt Airport Center 1, Building A, room K 20, Frankfurt airport, as well as to the meeting of the Bondholders in their capacity as trustors.

We refered to the following proposed resolutions to the Meeting of Creditors and the Meeting of Bondholders as our capapacity as trustors with respect to the 8.875% Bonds 2008/2013 with a right to exchange into shares in Thomas Cook Group plc (ISIN DE000A0N0N07, WKN A0N0N0) scheduled on August 10, 2009:

1. Proposed resolutions J.P. Morgan Securities Ltd. as of July 21, 2009.

2. Basso Capital L.P., Stamford/Conneticut (USA) has submitted conforming proposed resolutions as of July 21, 2009.

On 5 August 2009 Arcandor AG by letter to the holders of the bond declared to cancel the above mentioned meeting.
